Real Estate

Becker Glynn’s real estate practice is broad-based, transactional and national in scope.  We represent domestic and foreign companies including owners, operators, investors, developers, private lenders, public and private funds, and trusts, as well as high net worth individuals.

We have helped these clients purchase, sell, lease and finance all types of real estate, including office, retail, mixed-use and industrial properties, development sites, apartment buildings, condominiums (commercial and residential), cooperatives and private homes.

Our team is experienced, efficient, nimble and adept at negotiating all aspects of real estate deals, including:

  • LOIs and brokerage agreements

  • Acquisitions and sales, including phased sales, equity sales and sale-leasebacks

  • Joint ventures, preferred equity, platform funds and other equity investments

  • Acquisition, construction, bridge and permanent financing including mezz loans

  • Agreements with construction managers, leasing agents and operators

  • Office leases, triple-net leases, groundleases, subleases etc. (landlord and tenant)

  • Restructurings, equity-debt conversions and loan workouts

  • Corporate M&A transactions involving real estate, including cross-border deals

  • Tax structuring, including estate planning and cross-border considerations

  • Real estate litigation and settlements

Examples of deals our team has successfully negotiated for our clients include:

  • Represented the borrower/developer on a $40MM+ construction loan for NYC student housing project

  • Negotiated a complex space-sharing arrangement within a research hospital to enable joint development of health care technologies

  • Negotiated sale-leaseback of property to be converted to medical housing

  • Drafted an office lease template for a new NYC skyscraper landlord and negotiated the lease-up of the building

  • Lead counsel in a 5-party joint venture structure to construct a NYC hotel

  • Represented various foreign investors in establishing and participating in U.S. real-estate investment funds for projects in Florida, Texas and elsewhere, both ground-up development and value-add, including negotiations with developers

  • Multinational corporate merger involving bifurcation and spinoff of a business and sharing space at multiple industrial facilities throughout the U.S.

We strongly believe that our role as your counselor is to counsel, and we recognize the difference between strong negotiating tactics and unnecessary “over-lawyering.”  This ethos is the key to our track record of successfully representing clients across a broad array of real estate matters.
