The Firm represents private investment funds (both hedge and private equity funds) in all aspects of their business, including formation and structuring of investment vehicles (typically limited partnerships or limited liability companies) and related advisory or other entities, private placement of fund interests and ongoing representation relating to the fund’s investment activities and transactions (including portfolio company transactions).
We regularly represent investors in hedge and private equity funds, including the negotiation of initial capital commitments, economic and other rights, carried interest sharing and other side letter-type arrangements. In certain instances, these transactions have involved funds established to carry out investments in emerging markets, in which our multilateral and bilateral development finance institution clients are investing. As these transactions may at times utilize non-U.S. investment vehicles, the Firm has familiarity with the typical non-U.S. jurisdictions used for this purpose and we have experience working with counsel in those jurisdictions.
