Employment and Executive Compensation Practice


Our Employment and Executive Compensation Practice Group focuses on all aspects of the employer-employee relationship.   On behalf of our corporate clients, we regularly assist them in providing the right incentives and working environment to recruit, retain, and motivate the most talented employees and to address the more sensitive employee issues that arise from time to time. 

We are routinely called upon to: 

·         draft employee handbooks and related policies and procedures

·         handle investigations of alleged improper conduct

·         provide advice on employee discipline, terminations and reductions in force

·         assist clients to comply with the myriad employee related laws (e.g., Fair Labor Standards Act, Title VII of the Civil Rights Act, FMLA, ADA, ADEA, WARN and the comparable state statutes)

·         provide advice on wage and hour practices

·         negotiate and draft employment and severance agreements

·         draft and enforce confidentiality and noncompetition agreements

·         mediate, arbitrate or litigate employee disputes

We also advise clients in connection with executive employment agreements and compensation, which often involve equity and other forms of executive compensation, including bonus plans, change in control issues, retention plans, and phantom stock plans.  In designing compensation arrangements, we focus on the business and policy considerations that are important to our clients:  competitive market position, protection of trade secrets, public disclosure, compliance with securities law, financial reporting, retention concerns, succession planning, tax implications (on both the company and the covered individuals), and corporate governance and shareholder-related matters. 

We also advise on employee pension and benefit plan matters, including compliance and fiduciary issues in connection with such plans. 

We generally represent private, publicly held, and not-for-profit companies ranging in size from a small number of employees to thousands.  We also represent executives when negotiating or enforcing an employment or departure agreement.
