KENNETH J. STUART, Of Counsel to Becker, Glynn, Melamed & Muffly LLP, practices in the areas of securities, banking, corporate and commercial transactions, including public and private offerings, tender offers, hedge funds, private equity, venture capital, bank and other asset-based lending, securitizations, mergers and acquisitions (domestic and cross-border), project and leveraged lease financing, joint ventures and partnerships. He is experienced in the principal areas involving the federal securities laws, including '33 Act registrations and exempt offerings of equity and debt securities, '34 Act reporting and compliance, private investment companies and mutual funds under the Investment Company Act and Investment Advisers Act and Trust Indenture Act matters. Mr. Stuart has worked on numerous mergers, acquisitions and dispositions, including leveraged and management buy-outs. He also has significant venture capital financing and secured and unsecured lending experience. Mr. Stuart has represented hedge funds and partnership syndicators and worked on major leveraged lease and project financings and a unique securitization transaction. He has advised clients on corporate governance issues and general commercial matters. Before joining Becker, Glynn, he served as senior counsel at a prominent national law firm and as general counsel of a $6 billion financial services company.

Among the "firsts" handled by Mr. Stuart are the following:

• SEC registered public offering of limited liability company securities
• publicly-offered securitization of a future revenue stream
• formation of a master limited partnership with a tender offer/roll-up of multiple limited partnership interests
• leveraged lease/project financing of an electric generating facility, including transmission lines

Mr. Stuart has authored a chapter in a book on leveraged buy-outs and a number of articles on securities and finance related topics in industry and other publications. He has spoken at numerous continuing legal education and client seminars.

Prior to entering private practice, Mr. Stuart served as a Captain in the U.S. Army Judiciary, Judge Advocate General's Corps.

Education

Mr. Stuart received his A.B cum laude with honors in history from the College of William and Mary. He received his J.D. from Columbia Law School and an LL.M. in International Transactions from Georgetown University Law Center. Mr. Stuart is admitted to practice in New York, Connecticut, Colorado and Nebraska.
